CLIENT AGREEMENT

This Ophir Client Agreement is between Ophir LLC, an Idaho limited liability company, and the business identified in the order summary presented at checkout. Client may be an HVAC contractor or another business authorized by Ophir to use the Services.
This Agreement includes the order summary accepted by Client, Ophir’s [Data Processing Addendum](https://www.ophir.solutions/dpa), and any onboarding certification accepted by Client. It becomes effective when an authorized representative of Client electronically accepts it or signs an Order Summary

The person accepting this Agreement represents that they are at least 18 years old and have authority to bind Client. If they do not have that authority, they must not accept this Agreement or purchase or use the Services.
This Agreement includes and incorporates the Order Summary accepted by Client, Ophir’s Data Processing Addendum, Ophir’s Subscription & Cancellation Policy, and any onboarding certification accepted by Client.
services
Instant Estimate
Ophir provides hosted software that allows Client to offer a custom-branded HVAC planning-estimate tool.
The Estimator may display Client-supplied or Client-approved branding, logo, colors, contact information, manufacturers, equipment, pricing, warranties, service information, financing information, assumptions, exclusions, and other details.
The standard subscription includes:
- one custom-branded Estimator for one Client business or brand;
- standard initial configuration using information supplied or approved by Client;
- a requested customer estimate-recap email with configured next steps;
- a Client lead-alert email containing the customer’s submitted contact information and estimate results;
- unlimited customer estimate submissions, subject to reasonable technical, security, anti-fraud, and abuse controls;
- standard software maintenance and platform updates;
- reasonable routine updates to Client-supplied equipment, pricing, branding, contact information, and similar Estimator content; and
- email support through support@ophir.solutions within a commercially reasonable time.
Additional estimators, businesses, brands, extensive redesigns, custom integrations, data migration, custom development, or unusually large or frequent content rebuilds are not included unless stated in the Order Summary or separately agreed in writing.
Order Summary
The Order Summary identifies Client, the selected billing option, charges due, billing frequency, initial and renewal periods, any setup-fee waiver or discount, and any nonstandard Services. If there is a conflict, the order of control is: (1) the DPA for processing personal data; (2) the Order Summary for Client-specific business terms; (3) this Agreement; and (4) onboarding materials.
Service changes
Ophir may maintain, improve, update, or modify the Services. Ophir will not materially reduce paid core functionality during Client’s current paid billing period. New or optional features may have separate terms or fees.
No guaranteed results
The relationship is nonexclusive. Ophir does not guarantee leads, lead quality, appointments, sales, revenue, conversion rates, savings, Estimator accuracy, search ranking, uninterrupted availability, or any other business result.
Setup, subscription, payment, & renewal
Setup fee
Ophir’s standard setup fee is $499. Ophir may waive or discount this fee for a founding Client or other promotion. Any waiver or discount applies only when shown in the accepted Order Summary. A founding-Client waiver may be displayed as a $499 setup fee, a corresponding $499 waiver, and $0 setup fee due.
Subscription options
Client will select one of the following recurring subscriptions:
- **Monthly:** $329 charged at checkout and every month thereafter; or
- **Annual:** $2,988 charged at checkout and every year thereafter. This is equivalent to $249 per month for comparison purposes but is billed as one annual payment, not monthly installments.
There is no free trial. Fees are in U.S. dollars. Prices do not include applicable sales, use, or similar transaction taxes.
Payment processing and authorization
Ophir uses Stripe for hosted payment processing and does not intend to store full payment-card numbers. Stripe’s applicable terms govern Stripe’s payment handling.
Client authorizes Ophir and Stripe to charge the payment method for the amount and frequency displayed immediately before purchase, beginning at checkout and continuing until the subscription is canceled or terminated. Client must maintain accurate billing and payment information. Ophir will provide a receipt or order confirmation after purchase.
Initial period and automatic renewal
The monthly option has an initial one-month paid period and automatically renews for successive one-month periods. The annual option has an initial one-year paid period and automatically renews for successive one-year periods. There is no minimum commitment beyond the selected paid billing period.
As a standard practice, Ophir will send an annual-renewal reminder approximately 45 days before an annual renewal, stating the scheduled renewal date, renewal amount, and cancellation method. Ophir will also provide notices required by applicable law.
Cancellation
Client may cancel future renewals at any time without a cancellation fee or advance-notice period by using the Stripe Customer Portal or by emailing support@ophir.solutions from an email address associated with Client’s account. Cancellation through the Stripe Customer Portal is effective when submitted. An email cancellation is effective when received by Ophir, provided it is received before the next charge.
Cancellation stops future renewal charges and takes effect at the end of the current paid monthly or annual period. Client retains access through that paid period unless the Services are suspended or terminated for breach, illegality, security risk, or abuse. Client is responsible for retaining its cancellation confirmation.
Refunds
Fees already charged are nonrefundable, and Ophir does not provide prorated refunds or credits for an unused portion of a monthly or annual paid period, except where the Order Summary, this Agreement, or applicable law expressly requires otherwise. Ophir will investigate and correct verified duplicate or unauthorized charges.
Price changes
Ophir may change subscription pricing for a future renewal by giving at least 30 days’ notice before the affected renewal. If Client does not accept the new price, Client may cancel before that renewal.
Agreement changes
Ophir may update this Agreement prospectively by providing at least 30 days’ notice to Client’s account email. Changes ordinarily take effect at Client’s next renewal. Changes required by law or reasonably necessary to address an urgent security, fraud, or abuse risk may take effect sooner with reasonable notice. If Client does not agree to a prospective change, Client may cancel future renewals before it takes effect.
Taxes, failed payments, and suspension
Client will pay applicable transaction taxes unless it provides a valid exemption certificate. Ophir may suspend the Services for an undisputed payment more than 10 days late after notice. Client is responsible for lawful collection costs and interest at the lesser of 1% per month or the maximum rate permitted by law.
This Agreement, the accepted Order Summary, the Data Processing Addendum, the Subscription & Cancellation Policy, and any incorporated onboarding certification are the complete agreement regarding the Services.
